If instead you see a PCI with yellow!,right click and choose Update Driver, say No to searching/connecting,next choose Install Automatically.
Once UAA is installed properly, Install Conexant HERE
If you still get errors_open Device Manager again ...force install the conexant sound drivers.
Device Manager>Audio Device on High Definition Audio Bus
Right click, Update Driver
Say "no, not at this time" for connecting to Windows Update
Install from a list or specific location
Don't search I will choose the driver to install
For the Hardware Type select 'Show All Devices'
Remove the check from "Show Compatible Hardware" and click on "Have Disk"
Next...browse to C:\Swsetup\sp35682 (location the conexant extracts to when run)
Choose the "inf" and Ignore XP when it complains.
